Note: Carolina Controls Depot, Inc. (“CCD”) has attempted to make these Terms and Conditions clear and reasonable to help clarify the relationship between our two companies.  Your suggestions or questions are encouraged; any updates will be provided via email or posted on our website.

Prices and Taxes:  You agree to pay the prices, shipping and handling charges and all other items included on the invoice.  You are responsible for all taxes associated with this sale unless other arrangements have been agreed to in writing with CCD.

Payment:  If you are a Credit Card Customer, you agree to pay all charges at the time of purchase.  If you are a CCD Account Holder, you agree to pay invoices within the terms stated on the invoice.  Any order from you represents that you are solvent.  If we believe that your financial condition requires, we reserve the right to require full or partial payment prior to shipment.  If you fail to make any payment when due we reserve the right to suspend all future shipments and to require that you pay a charge on the amount past due at the rate of 1.5% per month (18% annual).  In the event of non-payment, you agree to pay us reasonable fees for collections or legal support, if any, incurred by us to collect payment and interest charges.

Shipping Charges:  Standard ground shipping and handling is free for single purchase orders greater than $5000.  For orders less than $5000, there will be a minimum shipping charge of $12.  Actual shipping and expedite fees including minimum purchase requirements will be invoiced for any order shipped with express or expedited handling.  Orders may be partial-shipped unless otherwise indicated by you on the Purchase Order.  Shipping dates given in advance of actual shipment are approximate and are not guaranteed.

Title and Shipping Insurance:  You take title and responsibility for risk of loss or damage at the point of shipment.

Warranty and Returns:  Products found to be defective may be returned within the manufacturer’s warranty guidelines only upon prior written authorization from CCD.  Warranty credit will be issued upon receipt by CCD of credit from the manufacturer.  Unused product may only be returned in exceptional cases and only after receiving written authorization from CCD.  This expressed warranty constitutes the entire warranty of CCD and is in lieu of all other warranties, express or implied, including any warranty of merchantability or warranty of fitness for a particular purpose.  In no event shall Carolina Controls Depot be responsible for any back-charges, incidental or consequential damages of any nature whatsoever. 

Cancellation of Orders:  Once a Purchase Order is received by CCD we make every attempt to place orders immediately.  Therefore, cancellation of Purchase Orders will be handled on a case-by-case basis, but will typically incur a cancellation fee of $100 (minimum) up to 20% of the price of the order. The associated fee for each return will be communicated to you in writing.

Product Use:  We do not guarantee that the products you purchase meet your or your customer’s plans and specifications for intended use.  We will make every attempt to provide good advice, but the ultimate responsibility for what products are ordered is yours.

Governing Law:  This agreement, and any disputes related to it, shall be governed by the laws of the State of North Carolina.
